These terms govern your use of Pericope, an invite-only private beta application operated by DecisionLR ("we," "us"). By accessing Pericope, you agree to these terms. If you do not agree, do not use the application.
Invite-only access
Pericope is not available to the public. Access is granted only to individuals we explicitly authorize through Google Cloud Identity-Aware Proxy. You may not attempt to access Pericope without authorization, and you may not share your access credentials with anyone else.
Beta status — no warranty
Pericope is provided as a beta product. It is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Features may change, break, or be removed without notice, and we do not guarantee uptime, data durability, or continuity of service during the beta period.
Changes to or termination of the beta
We may modify, suspend, or discontinue Pericope, in whole or in part, at any time, with or without notice. We may also revoke your access at any time, for any reason, including if we believe you have violated these terms.
Acceptable use
You agree not to:
- Use Pericope for any unlawful purpose;
- Attempt to circumvent access controls or authenticate as another user;
- Interfere with or disrupt the application, its infrastructure, or other users;
- Reverse engineer, scrape, or extract the application's underlying models or code;
- Upload content you do not have the right to upload.
Confidentiality of deal data
Pericope is used to work with sensitive, non-public deal information. You agree to treat any deal data belonging to another party that you encounter through the application as confidential, and to use it only for the purpose for which it was shared with you. We take reasonable measures to protect the confidentiality of data stored in Pericope, but you remain responsible for maintaining the confidentiality of your own account credentials.
Ownership
DecisionLR retains all rights, title, and interest in and to Pericope, including its software, design, and underlying methodology. Nothing in these terms transfers any such rights to you.
Limitation of liability
To the fullest extent permitted by law, DecisionLR will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Pericope, including during the beta period.
Termination
We may terminate or suspend your access to Pericope immediately, without prior notice, for any reason, including a breach of these terms. Upon termination, your right to use Pericope ends immediately.
Governing law
These terms are governed by the laws of the State of Idaho, United States, without regard to its conflict of law provisions.
